White & Case on Georg Fischer’s €2.1B tender offer for Uponor 

International law firm White & Case has advised Georg Fischer on its €2.1 billion voluntary recommended public cash tender offer for all the issued and outstanding shares in Uponor. 

Georg Fischer, founded in 1802 and headquartered in Switzerland, is a leading provider of products and solutions for the safe transportation of liquids and gases, as well as lightweight casting components and high precision manufacturing technologies. With a global presence in 34 countries and a workforce of over 15,000 employees, the company has established itself as a major player in its industry. 

Uponor, based in Finland and listed on Nasdaq Helsinki, is a prominent global provider of solutions that facilitate the movement of water in cities, buildings, and homes. Operating in 26 countries across Europe and North America, Uponor employs around 3,900 people and distributes its products to over 80 countries. In 2022, the company recorded net sales of approximately €1.4 billion, solidifying its position in the market. 

Advisors 

GF has retained White & Case as legal advisor in connection with the Tender Offer. The team was led by partner Timo Airisto (Helsinki) and included members from the Helsinki, Düsseldorf, Brussels, Frankfurt and Washington, DC Offices.   

UBS acts as financial advisor to GF in connection with the Tender Offer and Skandinaviska Enskilda Banken (publ) Helsinki Branch (SEB) as local financial adviser to GF and arranger in connection with the Tender Offer.  

Uponor has retained Nordea and Goldman Sachs International as financial advisors and Hannes Snellman Attorneys as legal advisor in connection with the Tender Offer and Hill and Knowlton Finland Oy as communication advisor.
