Baker McKenzie with EMW on shares sale to TMF

Baker McKenzie advised the shareholders of Swiss fintech company EWM Global (EWM), on the sale of all shares in EWM to TMF Group (TMF), a globally active Dutch  provider of compliance, admin and financial services. 

The context

Headquartered in Amsterdam, EWM global provides executive compensation administration services to a public of banks, asset Managers, private equity firms and insurance Companies

Pursuant to the agreement, EWM and TMF will join forces  in offering clients a single solution to manage their incentive compensation.  In particular, TMF’s fund administration and payroll services will leverage EWM’s compensation platform.

The team

Baker McKenzie advised EWM on all legal and tax matters of the deal.

Moreover, Zurich-based associates Cathrin Marxer, Christophe Reitze, and Andrea Puricelli, together with London-based partner James Heller, and New York-based partner Jonathan Susko, provided corporate and M&A expertise.
Antitrust and competition partner Boris Wenger (Zurich) further contributed to successful completion of the transaction.
