The advisors on Sunshine SwissCo’s shares placement

Sunshine SwissCo GmbH – a consortium led by EQT – announced the completion of an accelerated bookbuilding process directed at to professional investors in Switzerland and to qualified investors outside Switzerlan, leading to a 15,000,000 shares placement in Galderman Group.  

In connection with the deal, Homburger advised EQT, while Niederer Kraft Frey (NKF) represented the broader syndacate involved in the operation. Bank of America, BNP Paribas, Goldman Sachs, Morgan Stanley and UBS formed the syndicate in question.

The placement

The issuer, Sunshine SwissCo GmbH, is a consortium led by EQT, with the Abu Dhabi Investment Authority (ADIA) and Auba Investment. With each share us priced at CHF 89.00, the placement raised CHF 1,335 million in total.

Pursuant to the placement, EQT’s representation on the Board of Directors of Galderma remains untouched.

Moreover, the selling part agreed to a 90-day lock-up period, subject to certain customary exceptions, with respect to their remaining holding in Galderma.
