Advestra advises SIG Combibloc on the acquisition of Pactiv Evergreen’s fresh carton business in Asia

SIG Com­bib­loc, a lead­ing sys­tems and solu­tions pro­vider for aseptic car­ton pack­aging, has entered into an agree­ment to acquire Pact­iv Ever­green’s Asia Pacific Fresh oper­a­tions for an enter­prise value of USD 335 mil­lion.

Advestra acts as Swiss leg­al coun­sel to SIG Com­bib­loc in the Swiss law gov­erned trans­ac­tion. The team includes Sandro Fehl­mann (pictured), Beda Kaufmann, Thomas Reut­ter, Annina Ham­mer, Valérie Bayard and Mar­lon Ber­to­lini (all Cor­por­ate | M&A).

The acquis­i­tion includes Ever­green Asi­a’s fresh car­ton oper­a­tions in China, South Korea and Taiwan, with one pro­duc­tion facil­ity in each of these geo­graph­ies and will allow SIG Com­bib­loc to expand its foot­print in the fresh milk busi­ness in Asia. The trans­ac­tion will be fully debt fun­ded and is expec­ted to close in the second quarter of 2022, sub­ject to sev­er­al mer­ger and invest­ment con­trol clear­ances and oth­er cus­tom­ary clos­ing conditions.
