Altenburger and Chiomenti advise Safety21 on Smartprise acquisition

Swiss law firm Altenburger handled the Swiss law aspects of Safety21’s acquisition of a majority stake in Smartprise Italia, working alongside Chiomenti, which acted as lead counsel to the buyer.

Safety21, an Italian GovTech platform active in end-to-end technology services for road safety and enforcement, has completed, through its subsidiary GeFiL, the acquisition of 60% of Smartprise Italia. The company specializes in the international recovery of unpaid Highway Code fines and motorway tolls.

The legal teams

Altenburger advised on the Swiss law matters with partners Massimo Calderan and Marco Fusi.

Chiomenti assisted Safety21 with a team led by partner Antonio Sascaro, together with senior associates Riccardo Tedeschini and Umberto Previti and associates Giuliana Mazzi and Francesco Iapoce.

Deal details

Simultaneously with Safety21’s entry, Smartprise Italia acquired the operating business unit of Smartprise Sagl, a Swiss company based in Chiasso. As a result, the activities, expertise and technology of the Smartprise group are now consolidated into a single Italian entity.

The transaction is Safety21’s twelfth acquisition since BU Bregal Unternehmerkapital invested in the company in 2021. It forms part of a strategy of organic and acquisition-led growth aimed at strengthening the group’s proprietary technology and expanding its services.
