Baker McKenzie advised Meier Capital on the sale of Barcol-Air to Swegon

Investment Latour has, through its wholly-owned subsidiary Swegon Group, acquired Barcol-Air, a leading supplier of radiant ceiling systems.

The acquisition of Barcol-Air means that Swegon continue to build on its already strong position within radiant ceilings, with the existing Zent-Frenger business. The acquisition makes it possible to go from being a strong player in Germany to taking the leading position in Europe in the growing market segment. In addition, Swegon’s existing radiant ceiling systems business perfectly complements Barcol-Air, so significant synergies can be leveraged. 

Founded in 1979, Barcol-Air has 90 employees, with the head office in Schwerzenbach, Switzerland and production located in St. Leon-Rot, Germany. The Net sales of the company in 2021 amounted to EUR 37.2 million. As a leading supplier of radiant ceiling systems, it’s active in Switzerland, Germany, France and Italy.

Swegon Group, owned by Investment AB Latour and listed on the Stockholm Stock Exchange, is a market-leading supplier in the indoor environment field, offering solutions for ventilation, heating, cooling and climate optimization, as well as connected services and expert technical support. Swegon has subsidiaries and distributors all over the world and 17 production plants in Europe, North America and India. The company employs more than 2700 people and, in 2021, had a turnover of SEK 5.8 billion.

Meier Capital, the holding company of Silvan G.-R. Meier’s family, in turn, will focus on its activities in humidification and evaporative cooling (with Condair and Portacool), as well as in wholesale for Swiss heating, ventilation and air conditioning (HVAC) installers (with the majority stake in Meier Tobler).

Baker McKenzie advised Meier Capital on all legal aspects of the transaction. The Zurich team was led by partner  Alexander Fischer (m&a, pictured) and consisted of Vinzenz Sutter (associate, m&a), Boris Wenger (partner, anti-trust), Johanna Moesch (associate, commercial), Susanne Liebel-Kotz (associate, tax); From the Paris office were also involved Alain Sauty De Chalon (partner, m&a), Jeremie Paubel (partner, employment).
