Homburger advises AGP on composition moratorium
Homburger is advising AGP Worldwide Operations on all legal aspects of its composition moratorium proceeding in Zug, Switzerland, and on the transactions carried out in connection with it. The court-appointed administrator is Staiger Rechtsanwälte.
Background to the proceeding
AGP, based in Zug, trades internationally in raw materials and finished products for the automotive glass industry. It is a subsidiary of AGP Group, Luxembourg.
Because of persistent financial difficulties, the competent court in Zug first granted AGP a provisional composition moratorium. This later became a definitive moratorium, which is currently set to run until the end of December 2026. During the moratorium, AGP has closed its plant in Santa Catarina, Mexico, and sold its production facilities through several auctions.
Advisers and team
The Homburger team is led by Stefan Kramer and Miguel Sogo. It includes Marco Ehrat, Marco Rostetter, Caroline Grand and Mathilde Montézin, all from the restructuring and special situations practice. Viola Donzelli and Fabio von May advise on litigation, and Fabrice Eckert advises on financing. Local counsel in various foreign jurisdictions have also been engaged.
Role of the court-appointed administrator
Staiger Rechtsanwälte, Zurich, acts as court-appointed administrator, with Georg Wohl and Daniel Hunkeler involved. On behalf of the court, it supervises AGP’s management during the moratorium. It also works toward a composition agreement or another solution to restructure the company.
