Homburger advises DKSH on the acquisition of Terra Firma

DKSH Holding has acquired Terra Firma, a leading distributor of specialty chemicals in North America. With this acquisition, DKSH expands its performance materials business unit platform to the US and Canada. The transaction is an important step in DKSH’s strategy to build a global distribution platform for specialty chemicals and ingredients.

The transaction, which is expected to close towards the end of the year, is valued at an enterprise value of USD 360 million. DKSH will acquire at least 80% of Terra Firma, with the remainder held by the company’s existing management team. The transaction will be financed through debt and cash.

Homburger has advised DKSH on Swiss law matters, including debt financing, in this transaction. The team consisted of partner Frank Gerhard (corporate / m&a, pictured), partner Jürg Frick and counsel Eduard De Zordi (both financing and investment products) as well as associate Timo Hasler (corporate / m&a).
