The advisors on OC Oerlikon’s Barmag divestment to Rieter

Homburger and Lenz & Staehelin have been recently involved in OC Oerlikon’s divestment of its Barmag textile machinery business for manmade fibers to Rieter. In connection with the deal, Homburger is representing the selling part, OC Oerlikon, while Lenz & Staehelin is advising the buyer, Rieter.

Moreover Advestra advised UBS on all aspects of the volume under­writ­ing, the cap­it­al increases and the bridge loan facil­ity in con­nec­tion with the acquis­i­tion fin­an­cing.

The context

The agreement set the business at an enterprise value of CHF 850 m with an earn-out of up to CHF 100 m

Pursuant to the transaction, Oerlikon will become a distinct pure-play surface technology company, thus serving a plethora of industry industries including automotive, aerospace, energy, luxury, medical, defense and semiconductors.
