Kellerhals Carrard advised FISCHER entering into a strategic collaboration with Weichai Power

The privately controlled FISCHER Spindle Group in Switzerland, world technology operator in fuel cell compressor technology and Weichai Power, a listed 10bn Shandong company and one of the world technology operators of hydrogen fuel cell power systems, enter into a strategic collaboration to become the global leading manufacturer in fuel cell compressors.

The complex cross-border transaction has been structured and negotiated for about one year. Kellerhals Carrard advised FISCHER in this transaction. The KC team was led by the head of M&A practice and the firm’s managing partner, Beat Brechbühl (pictured – strategy, structure, negotiations), and included Thomas Noesberger (valuation/financing), Christian Witschi (tax), Daniel Emch (merger control), Philippe Frésard and Shayan Mirabi (corporate/notary public), and, from the Shanghai office, Cheng Chen and Rachel Tao (Chinese law aspects) and Sabine Neuhaus (Chinese-Swiss transactional & execution support).
