Lenz & Staehelin advises TVS Motor on the acquisition of SEMG

TVS Motor Company has acquired the remaining stake in Swiss E-Mobility Group (SEMG) from Constellation Capital and certain minority shareholders in an all-cash transaction. SEMG is a market leading provider of e-mobility solutions in the DACH region, operating the largest pure-play e-bike retail chain in Switzerland.

The acquisition reaffirms the company’s commitment to expanding operations in Europe through a portfolio of premium and technology leading brands, including Norton Motorcycles and EGO Movement.

Lenz & Staehelin advises TVS Motor Company in this transaction. The team comprises partners Tino Gaberthüel (pictured left) and Simone Ehrsam (pictured right) as well as associates Xavier Grivel, Vincent Huynh Dac and Dominik Mann (all corporate/m&a).

From the other side Walder Wyss has advised the Constellation V Fund and the minority shareholders on the transaction. The team was led by counsel Urs Schenker and managing associate Samuel Lieberherr (both corporate/m&a). Further, it included Dario Galli (senior associate, corporate/m&a), Ursina Gremminger (managing associate, tax), Florian Iten (associate, corporate/m&a) and Luca Bartolomei (trainee lawyer, corporate/m&a).
