NKF advises Maguar in majority investment deal

Niederer Kraft Frey (NKF) advised German tech investor Maguar through successful closing of a majority investment in Swiss Navori labs .

The parties

A specialist in B2B software investments, Maguar’s portfolio mostly comprehends small and medium sized software companies. The firm operates across the DACH region since 2019, when founders Matthias Ick, Gunther Thies, and Arno Poschik joined forces, putting together their experience in the software and private equity industry in a single enterprise.

Their latest majority investment is that of Navori Labs, a Lausanne-based company active in the fields of digital signage softwares and computer vision solutions. It provides both sales-boosting and update-sharing tools to a public of businesses and organizations.

The teams involved

NKF acted as legal counsel on both the M&A and financing sides of the transaction.

Corporate/M&A partner Patrik Peyer led the M&A team, working alongside associate Melchior Ebener, junior associate Janika Leuzinger (both corporate/M&A), partner Morgan Boëffard (tax), counsel Livia Keller (employment), and associate Boris Catzeflis (IP, data protection).

Maguar appointed Hogan Lovells as the lead and international counsel on the transaction.  Munich Corporate & finance partner Nikolas Zirngibl led the Hogan Lovells team, with support from Dominik Lang, Julia Dingeldey, Andreas Thun, Falk Loose, Justus Frank, Michael Thiesen, Sarah-Lena Kreutzmann, Marcus Schreibauer, Philipp Reckers, Eliott Fourcade and Paul Leroy.

Transactions partners Philip Spoerlé and Adrian Koller co-led the NKF financing team, supported by associate Lorenzo Henseler (transactions) and partner Markus Kronauer (tax).

Goodwin LLP acted as lead counsel on the financing aspects. Their team was guided by partner Winfried M. Carli, working with associates Rebecca Stöcklein and Marius Garnatz (private equity/finance)
