NKF with GF on automotive business divestment to Nemak

Niederer Kraft Frey advised Georg Fischer (GF) in connection with the divestment and the related carve-out transaction of GF Casting Solutions’ automotive business to Nemak, a Mexico-based company specialising in aluminum lightweighting solutions for the automotive industry.

The context

The divestment encompasses nine production sites across Europe, China, and the US, involving approximately 2,500 employees. The enterprise value sets at USD 336 million, of which USD 160 million to be paid at closing.

Headquarter in Schaffhausen, Switzerland, and listed on the SIX Swiss Exchange, GF is an industrial company specialised in piping systems, building flow solutions and casting solutions.
