Vision Group merges with LensOnline: the advisors

Niederer Kraft Frey (NKF) advised Vision Group on its merger with LensOnline. In connection with the transaction, NKF also advised on securing new financing from arranger, agent and lender UBS Switzerland. Moreover, Advestra advised UBS Switzerland on the matter.

The parties

Vision Group is active in the distribution of contact lenses across Switzerland and further European countries, holding a portfolio of different brands.

LensOnline is particularly active across the Benelux region and Italy, selling various brands of contact lenses via an omnichannel approach, both in retail and online.

The NKF team

Transactions partner Adrian Koller (pictured above) led the NKF team on the matter, working alongside partners Andrea Giger, Ulysses von Salis (both transactions) and Nicolas Birkhäuser (antitrust/competition), as well as with associates Lorenzo Henseler, Carlotta Ulmer (both transactions) and Boris Catzeflis (IP), junior associates Manuel Constam, Selim Tisli and Géraldine Küderli and trainee Robin Brändli (all transactions).

The Advestra team

The Advestra team working on the transaction included Alexander von Jeinsen (pictured), Alexander Fisch and Silvan Biedermann (all financing) as well as Céline Martin (Tax).

The advisory line-up

Dutch private Equity firm Quadrum Capital backed the operation. Further legal advisors involved included 9Corporate, DLA Piper, Walder Wyss, Ashurst and Monard Law. Moreover  PROGRESSYV advised the Vision Group shareholders on commercial aspects of the sales process, while Deloitte advised on tax matters. Houlihan Lokey worked as debt advisor.
