Walder Wyss with DT Swiss’ founders on succession and shareholder base expansion

Walder Wyss advised the founders of DT Swiss, as they have completed a succession solution for one of the founders, combined with the expansion of the shareholder base to include members of the DT Swiss management team.

Headquartered in Biel, Switzerland,DT Swiss is a globally active manufacturer of bicycle wheel components and complete wheel systems.

The Walder Wyss teams

Walder Wyss advised the founders of DT Swiss on all aspects of the transaction, including its structuring, tax structuring and the M&A process. The Walder Wyss team comprised partner Maurus Winzap (tax), partner Hans-Jakob Diem (corporate/M&A), counsel Janine Corti (tax) and associate Nicolas von Sinner (corporate/M&A).

A separate Walder Wyss team advised DT Swiss in connection with the financing and refinancing transaction under which financing facilities were made available for the purpose of, inter alia, financing the transaction. The financing was provided by a banking syndicate led by UBS Switzerland AG, acting as mandated lead arranger, coordinator and agent. The Walder Wyss banking and finance team comprised partner Lukas Wyss (banking & finance), associate Milos Karic (banking & finance) and trainee lawyer Céline Köpfli (banking & finance).
