Bomi Italia acquires Vercesi Group. The advisors

Bomi Italia, an Italian multinational active in the logistics sector and in the management of high-tech products for the protection of health, acquired Vercesi Group, a historic company specialized in international transport at controlled temperatures and in the storage of pharmaceutical, diagnostic and biomedical products.

The profiles of Swiss law were followed by Bär & Karrer, with partner Paolo Bottini (pictured) and associate Edoardo Buzzi.

Simmons & Simmons acted as legal counsel for Bomi Italia.

Lawyers Sara Luppi and Edoardo Meucci Majore, of the law firm of the same name, provided assistance to the Vercesi family.

The transaction was partly financed by a pool of banks headed by Credit Agricole and composed of Banco BPM, BNL, Deutsche Bank and Iccrea Banca. Simmons & Simmons assisted the parties in the loan.

 

The deal

The operation, which involved a prior reorganization of the structure of the group to be sold, was completed through the acquisition of the Swiss holding company at the head of a group operating through a fleet of over 120 road tractors for towing semi-trailers. equipped with refrigeration units and 135 active temperature controlled semi-trailers, among the most important in the reference sector.

Paola Vercesi will continue to hold the role of ceo of the company and will lead the new business unit with the aim of creating important synergies within the Bomi Group. Stefano Camurri, head of Italy & France in Bomi Group, will have the role of executive chairman.
