Bratschi advises Ardian on Mimacom Flowable’s acquisition

Private equity investment firm Ardian, together with the management team led by CEO Agim Emruli, is investing in Swiss-based Flowable Holding and its subsidiaries (MFG). Headquartered in Bern, MFG specialises in services, software development and digital transformation, cloud and data consulting for well-known blue-chip clients in the manufacturing, finance, insurance and life sciences industries. With Flowable, it also offers its own low-code software platform for the automation and digitalisation of business processes. MFG employs more than 500 people in 10 locations worldwide, including Switzerland, Germany, Spain, the US, Poland and Singapore.

Ardian is a leading global private equity investment house, managing or advising USD 150 billion in assets on behalf of more than 1,400 clients worldwide. Ardian’s investment will be financed through an acquisition financing provided by a syndicate of experienced Swiss banks.

Bratschi advised Ardian on this transaction on Swiss law in the areas of IP, IT and data protection law. The team consisted of partner Adrian Bieri (co-head IP, technology and data protection, pictured), Elisa Aliotta, Yaël Heymann, Jacqueline Odermatt and Mélanie Jungo.
