Mathys Bettlach to be acquired by Colfax Corporation – The Advisors

Colfax Corporation subsidiary DJO, has entered into a definitive agreement to expand DJO’s reconstructive business and acquire Mathys Bettlach (Mathys). Mathys shareholders have approved the sale of all shares to the mother company of DJO, the American Colfax Corporation, a Switzerland-based company. The transaction is expected to close in the third quarter of 2021, subject to receipt of applicable regulatory approvals and the satisfaction of other closing conditions.

The Mathys brand will continue to exist in the new group and the structure of the company will also be maintained within the DJO. All collaborators will remain employed by Mathys and their contracts will remain unchanged.

 

The legal teams

Homburger acts as lead counsel to Colfax Corporation. The legal team is led by partner David Oser (corporate / M&A, pictured) and comprises of counsel Micha Fankhauser (corporate / M&A), associates Moritz Riesener (corporate / M&A), Patrick Schmidt (corporate / M&A), Romain Fakhoury (corporate / M&A) and Matthias Müller (corporate / M&A), and partners Claudio Bazzani (regulatory) and Reto Heuberger (tax).

Lenz & Staehelin acts as legal counsel to Mathys family. The L&S team includes partner Matthias Wolf, senior associates Iliana Djagova and Robin Hauser and associate Sven Infanger (all Corporate/M&A). Senior associate Patrick Schärli advised on capital markets and partner Astrid Waser and associate Sandro Travaglini on antitrust and regulatory aspects.

Mathys Bettlach

Mathys was founded in 1946 and has been active in medical technology since 1958. Since 2003 it focuses its activities exclusively on the development, manufacture and marketing of products joint prosthetics. In 2013 Mathys entered the segment of sports orthopedics. The company has development and production facilities in Switzerland and in Germany as well as branches in 11 other countries. Overall, it employs around 600 people.
