Bär & Karrer: Deutsche Börse acquires majority stake in Crypto Finance

Deutsche Börse Group acquires a majority stake in Crypto Finance, a financial group under consolidated FINMA supervision that offers trading, storage, and investment in digital assets to institutional and professional clients, , in exchange for an investment in “a moderate three-digit CHF million range,” according to a press release.

Bär & Karrer acted as legal advisor to Deutsche Börse Group on this transaction. The team included Mariel Hoch (pictured), Marlene Lienau, Fabienne Perlini-Frehner and Jasmin Bächtold (all m&a), Daniel Flühmann and Sarah Vettiger (both banking & finance), Mani Reinert (antitrust), Tobias Rebmann (ip/it and antitrust), Laura Widmer and Laura Rubeli (both employment) as well as Susanne Schreiber and David Weimann (both tax).

Through the acquisition, Deutsche Börse aims to extend its digital assets capabilities by providing a direct entry point for investments, including post-trade services such as custody.

Crypto Finance’s founder and CEO Jan Brzezek will remain at the helm of the business. The deal is expected to close in the fourth quarter of 2021, subject to regulatory approvals.
