Homburger advises Nestlé on issuance of USD 1.5 bn in bonds

Homburger has advised Nestlé on the issuance of an aggregate of USD 1.5 bn notes through an institutional (Rule 144A) offering in the United States of America. Nestlé Holdings has successfully completed its issuance of USD 500 m 5.000% Notes due 2028, USD 500 m 5.000% Notes due 2030, and USD 500 m 5.000% Notes due 2033. The Notes are guaranteed by the group’s Swiss parent company Nestlé S.A. The offering of the Notes was done in reliance on Rule 144A and Regulation S under the U.S. Securities Act.

Homburger has advised Nestlé on all Swiss law aspects of the transaction. The team was led by counsel Lee Saladino (pictured. capital markets), and included Daniel Daeniker (corporate / M&A), Sofiya Shavlak (capital markets), and Dieter Grünblatt (tax).
