Lenz & Staehelin advisies Viatris on research & development collaboration
Viatris, a global healthcare company, and Idorsia Ltd, have both announced they have entered into agreements for a significant global research and development collaboration. Viatris will receive exclusive global development and commercialisation rights to two Phase 3 assets. They will also have the potential to add additional innovative assets in the future. Under the terms of the agreements, the development programs and certain personnel for selatogrel and cenerimod will be transferred to Viatris in exchange for an upfront payment to Idorsia of $350 million, potential development and regulatory milestone payments, and certain contingent payments of additional sales milestone payments and tiered royalties. The closing of the transaction is subject to certain limited closing conditions and expected at the end of March.
Lenz & Staehelin advised Viatris on all Swiss law matters. The team included Tino Gaberthüel (pictured), Nicolas Lehmann (both Corporate/M&A), Pascal Hinny, Franziska Stadtherr, Joshua Lehmann (all Tax), Anja Affolter Marino (Employment/Pension) and Leo Rusterholz (Transitional Services).
