Lenz & Staehelin: Elos Medtech acquires Klingel Medical 

Lenz & Staehelin acted as legal advisors for Elos Medtech, a development and manufacturing partner for medical devices, on its recent expansion through its agreement to acquire Klingel Holding. The acquisition is valued at EUR 370 million and will mark a strategic move for Elos Medtech in the medical devices industry. 

Wenger Vieli advised IK Partners on all Swiss legal aspects of the sale of Klingel Medical Group.

Klingel Holding, currently owned by IK Partners and management, will become part of Elos Medtech’s portfolio. The acquisition is subject to standard regulatory approvals and acceptance at an extraordinary general meeting. Additionally, the successful completion of a rights issue to finance the acquisition will play a crucial role in closing the deal. 

The rights issue will be guaranteed through the subscription and guarantee undertaking of TA Associates, through EM Intressenter, ElosMedtech’s principal shareholder. Closing is expected to take place in the fourth quarter of 2023.
