New handbook in M&A co-edited by Schellenberg Wittmera, Walder Wyss & Bratschi’s partners

The first edition of “Mergers & Acquisitions” co-edited by Florian S. Jörg (partner at Bratschi, pictured left), Urs Gnos (partner at Walder Wyss, pictured center) and Schellenberg Wittmer corporate/m&a partner Lorenzo Olgiati (pictured right) has just been published by Helbing Lichtenhahn Verlag.

This new handbook offers on 1300 pages a comprehensive practice-oriented coverage of the legal and practical issues that arise in today’s private and public M&A transactions (in particular, private acquisitions, mergers and public takeovers of public companies) under Swiss law. Over 40 leading M&A practitioners concisely demonstrate the key aspects to be considered when planning, negotiating and executing M&A transactions and the pitfalls to be avoided. The work addresses a multitude of legal issues including prevention and resolution of post- M&A disputes as well as tax aspects and is complemented by numerous checklists, sample clauses, practical examples and references to the relevant Swiss case law.
