Centiel lists on SIX following reverse takeover: the advisors
Centiel shares have been admitted to trading on the SIX Swiss Exchange following the completion of a reverse takeover. The transaction involved Centiel’s merger with HT5 AG, a company originating from the former Hochdorf Group, and the issuance of a total of 15,386,988 new shares. Pursuant to the deal, HT5 is now recognized as the company’s major shareholders.
In connection with the operation, Baker McKenzie advised HT5 on its restructuring and subsequent merger with Centiel, while Walder Wyss advised Centiel and its shareholders across the transaction.
Moreover, Advestra represented UBS Investment Bank, acting as sole global coordinator, and Zürcher Kantonalbank as joint bookrunner, as well as Commerzbank and Octavian, serving as selling agents for the transaction.
The company
Centiel is a technology company group that develops, manufactures, and supplies advanced uninterruptible power supply (UPS) systems for mission-critical applications. The company resulting from the merger, renamed Centiel Ltd., is headquartered in Lugano, Switzerland.
